Due diligence is the process of investigating an investment opportunity before you commit. Legal due diligence, which is what Investor Diligence provides, focuses specifically on the legal documents, deal structure, and risk factors from a legal perspective. It covers the offering documents, your rights as an investor, deal terms, red flags, and what you’re actually agreeing to when you sign.
Financial advisors evaluate investments from a financial standpoint — projected returns, risk-adjusted performance, portfolio fit. Investor Diligence reviews investments from a legal standpoint — what the documents say, how the deal is structured, what your rights are, and where the legal risks lie. The two perspectives are complementary. Many of our clients work with financial advisors and use Investor Diligence for the legal review their advisor can’t provide.
Our reports cover the legal structure of the investment, key deal terms (fees, distributions, investor rights, exit provisions), a plain-language explanation of what you’re agreeing to, and any red flags or provisions that warrant attention. Level 2 reports include a more in-depth review — sponsor background representations, investor protections, recourse provisions, and securities law compliance considerations.
The level of due diligence should match the investment. A $10,000 commitment warrants a different review than a $500,000 one — in depth and in time.

Level 1 covers the core legal review for smaller investments. Level 2 goes deeper — more analysis, more time with an attorney — and is the right fit for most investors. For commitments over $350,000, we scope the engagement to the specific situation.

The limits are maximums, not requirements. Investors can always step up to a higher level if they want a more comprehensive review.
The common thread is this: you’re putting capital into a deal or project that someone else is running.
