Litigator’s Eye.
Investor’s Experience.

Dan Eaton has practiced real estate, investment, and litigation law since 2009, on all sides of investment transactions. He’s helped investors evaluate deals, advised sponsors on fund formation, and represented investors in court when things went wrong, including real estate fraud cases and complex business disputes. He has been certified as a Real Property Specialist by the Minnesota State Bar Association since 2014 and received his J.D. from the University of St. Thomas School of Law, graduating Cum Laude.

Dan has also been an active investor in real estate and alternative investments since 2005. That firsthand experience, alongside his legal background and earlier career in financial services informs how he thinks about investment risk and what investors need to understand before they commit.

When he’s not working, you’ll find him canoeing in the Boundary Waters or skiing in Montana.
Investor Diligence is a service of Waypoint Law PLLC, a Minneapolis-based law firm. We provide legal advice, not financial advice.

What We Do

Understand the Risk Side of the Investment Equation

Evaluating an investment means understanding both sides of the equation. The return side is straightforward — sponsors present it clearly, and the numbers are easy to run. The risk side is different. It lives in the documents: the PPM, the operating agreement, the subscription terms. That’s what Investor Diligence reads from your side of the table, so you can make a fully informed decision.
Many of our clients work with financial advisors and use Investor Diligence for the legal review their advisor can’t provide. The two perspectives are complementary.
